ETrustPlan Terms of Use

Introduction

These Terms govern your access to and use of the ETrustPlan website, services, and related materials (collectively, the "Site" and "Services"). "ETrustPlan," "we," "us," and "our" refer to Lag Box, LLC. By accessing or using the Site or Services you accept and agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

1. Definitions

• ETrustPlan Material: all content, documents, software, templates, web pages, emails, and other materials provided by ETrustPlan.
• Final Document: a completed legal document produced by an ETrustPlan product.
• Document Assistant: any AI-powered assistant feature made available on the Site.

2. Use and License

• License grant: Subject to these Terms, when you purchase a product, enroll in a free trial, or subscribe, we grant you a limited, non-exclusive, non-transferable, revocable license to use Final Documents as described in these Terms.
• Permitted copies: You may make up to five electronic copies of each Final Document for personal use and may print or mechanically copy documents as reasonably necessary to complete the transactions for which the documents were created.
• Geographic and currency limits: Your license is valid only for the country selected at purchase and charges will be in that country's currency.
• Trial limitations: Documents obtained under a free trial are subject to additional restrictions; if you are not a party to transactions using a Final Document obtained via trial, you may not use that Final Document to enter new transactions after one month following the trial's expiration.

3. Prohibited Uses and Restrictions

• You must not publish, redistribute, sublicense, modify, or use ETrustPlan Material to create an automated system or website without our prior written permission. You may not access or use source code or attempt to reverse engineer our systems. Licenses are personal to the purchaser and, for organizations, permit only one named individual to exercise the rights granted unless additional purchases are made.

4. No Legal Advice; User Responsibility

• No attorney-client relationship: ETrustPlan is not a law firm and does not provide legal advice. Use of the Site or Services does not create an attorney-client relationship.
• Document Assistant: Outputs from Document Assistant are informational only and do not constitute legal advice. You are responsible for verifying any content and for consulting a licensed attorney where appropriate.
• Definition of Legal Advice: For these Terms, "Legal Advice" includes any communication or service that, under applicable law, must be provided by a licensed attorney, including selecting documents, assessing legal consequences, or determining whether documents are complete or appropriate.

5. Programs and Affiliate Terms

• We may modify or terminate any program, including affiliate programs, at our discretion. Specific affiliate terms are available on the Site.

6. Audio/Video Recording for Notary Services

• If you use our online notary service, you consent to audio and video recording of the notary session. By inviting others you represent they are authorized and consent to being recorded.

7. Warranties; Disclaimers

• As-is: Except where expressly stated, ETrustPlan Material and Services are provided "as is" without warranties of any kind. You are responsible for determining suitability for your purposes.
• Electronic signatures and notarization: Our electronic signature tools do not provide identity authentication beyond the stated functionality; you are responsible for determining whether electronic signatures or online notarizations meet your needs.
• AI providers: Document Assistant is powered by third-party AI providers; we do not guarantee the accuracy, completeness, or reliability of their outputs. You must independently verify any AI output before relying on it.

8. Limitation of Liability

• Except where prohibited by law, our total liability to you for any claim arising from these Terms or your use of the Site or Services will not exceed the amount you paid to ETrustPlan for the product or service at issue. For Document Assistant, our liability (if any) is limited to the amount you paid specifically for access to Document Assistant.

9. Guarantees and Refunds

• Guarantees and refund policies are governed by the specific terms published for each product. Annual subscriptions may be refundable within 30 days of initial purchase; renewals are non-refundable unless canceled before renewal. Business Formation Services are non-refundable. Guarantee claims are subject to the limitations and procedures described on the Site. Certain guarantees exclude AI outputs and Document Assistant responses.

10. Business Formation and Registered Agent Services

• Third-party provider: Business Formation Services are performed by a third-party provider engaged by ETrustPlan. You authorize ETrustPlan and the provider to act on your behalf to complete filings and related tasks.
• Customer responsibility: You are solely responsible for the accuracy and completeness of information you provide for filings and for maintaining compliance and good standing. ETrustPlan does not review filings for legal sufficiency.
• Registered agent scope and obligations: Registered agent services are limited to statutory duties; documents will be forwarded electronically and you must keep contact information current. The service renews annually; to avoid renewal charges you must cancel at least 14 business days before renewal and follow the cancellation steps described on the Site.
• Termination: ETrustPlan may terminate registered agent services for reasons including nonpayment, inability to contact you, suspected illegal activity, or expiration of the provider agreement. Upon termination you assume responsibility for service of process and related filings.

11. Privacy, Marketing and Electronic Communications

• Your personal information will be used in accordance with our Privacy Policy available on the Site. By using the Site you consent to receive disclosures and communications electronically and to sign documents electronically. If you prefer paper records, print the documents you need; withdrawing electronic consent requires account deletion and will prevent further use of the Site.
• Free service; information required to download: Document preparation on the Site is provided free of charge. In exchange, before you may download, email or otherwise obtain your completed trust, will, or estate planning documents, you must provide your full legal name, email address, and telephone number, and you must consent to the marketing use described below. Documents will not be released to you until that information is provided.
• Marketing use of your information: By providing your name, email address, and telephone number and downloading trust or estate planning documents from the Site, you agree that ETrustPlan and Lag Box, LLC may use and retain that contact information to market, advertise, and promote other financial products and services to you — including, without limitation, insurance, annuities, investment, tax, trust funding, and financial advisory products and services — and may share or disclose your contact information to affiliated companies and to licensed financial professionals, insurance producers, and other marketing partners for that purpose. You consent to receive marketing communications by email, telephone call, text/SMS message, and mail at the contact information you provide, including calls and texts placed using automated or prerecorded technology, and you acknowledge that this consent is not a condition of any purchase. Message and data rates may apply.
• Opting out: You may withdraw your marketing consent at any time by using the unsubscribe link in any marketing email, replying STOP to any text message, or emailing privacy@etrustplan.com. Opting out does not affect documents you have already downloaded, and we may still send you transactional messages about your account and documents.

12. Indemnification

• Except where prohibited by law, you agree to indemnify and hold ETrustPlan, its officers, directors, employees, and agents harmless from claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site or Services or your breach of these Terms.

13. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules, and you submit to the exclusive jurisdiction of the state and federal courts located in Texas, except where Section 18 or Appendix A applies. Where Appendix A applies to covered U.S. users, the arbitration and dispute resolution procedures in Appendix A govern.
• Arbitration and waivers: Except as otherwise provided, disputes will be resolved by binding arbitration. Covered U.S. users are subject to the arbitration procedures and class/mass action waivers set out in Appendix A, including a 30-day opt-out right where applicable. ETrustPlan may bring suit in court for intellectual property or injunctive relief and either party may pursue small claims court remedies.

14. Modification of Terms

• We may modify these Terms from time to time. We will provide notice of material changes in a reasonable manner. Continued use after notice constitutes acceptance of the updated Terms.

15. Miscellaneous

• Assignment: These Terms are personal and may not be assigned.
• Severability and headings: Headings are for convenience only and do not affect interpretation. If any provision is found invalid, the remainder will remain in effect to the fullest extent permitted by law.

Our use of cookies and similar technologies, the categories we use, and how to accept, refuse or later change your choices are described in the Cookie Notice, which forms part of these Terms.
